Terms of trade
Last updated 30 October 2026
These conditions apply to every sale of goods and every storage, handling and delivery service supplied by Masted Limited to business customers, unless we agree otherwise in writing.
1. Definitions and application
"We", "us" and "Masted" means Masted Limited, a company registered in England and Wales under company number 15808609, whose registered office is at 51a Station Road, London, E12 5BP. "You" means the business placing the order. "Goods" means products we sell to you. "Services" means storage, handling, pick and pack, delivery and any related services. "Contract" means the agreement between us for Goods or Services on these terms.
These terms override any terms you put forward, including on a purchase order. You confirm you are acting for business purposes and are not a consumer.
2. Accounts and orders
We may ask for company, VAT and trading information, and references, before opening an account. An order becomes binding only when we confirm it in writing (email is enough) or deliver the Goods. Quotes are valid for 14 days unless stated otherwise and may change if costs, exchange rates or duties change before we confirm the order.
3. Prices
Prices are in pounds sterling and exclude VAT, which is added at the applicable rate. Delivery, pallet, storage and handling charges are shown separately unless the quote says they are included.
4. Payment
Unless we have agreed a credit account, payment is due in full before dispatch. On a credit account, invoices are payable within 30 days of the invoice date, or any other period stated on the invoice. We may withdraw or reduce credit at any time.
If you pay late we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and suspend deliveries and Services until the account is paid. You may not withhold or set off payment.
5. Delivery
Delivery dates are estimates and time is not of the essence. You must provide safe access, a suitable unloading area and someone to accept delivery. If a delivery fails because of you, we may charge for redelivery and storage. We may deliver in instalments, each invoiced separately.
6. Risk and ownership
Risk in Goods passes to you on delivery, or on collection if you collect. Ownership of Goods stays with us until we have received payment in full for them and for all other sums you owe us. Until then you must keep them identifiable, and we may recover them if payment is overdue. You may resell them in the ordinary course of business, but the proceeds are held for us up to the amount you owe.
7. Checking deliveries
Check Goods on delivery and note any visible damage or shortage on the delivery note. Tell us in writing within two working days of delivery about any damage, shortage or wrong item. Hidden defects must be reported within 14 days. We will investigate, and if a claim is valid we will replace the Goods, make up the shortfall or credit the price, at our choice. That is our only obligation for defective or missing Goods.
8. Returns
We accept returns only with our prior agreement. Goods must be unused, in their original packaging and in resaleable condition. We may charge a restocking fee and the cost of collection.
9. Storage and logistics services
Storage is charged per pallet or per location per week, part weeks charged as full weeks, plus handling charges as quoted. You must tell us in advance about any goods that are hazardous, perishable, high-value or need special handling, and must not send us anything illegal or that we have not agreed to store.
Unless we agree in writing to arrange insurance, you are responsible for insuring your goods while in our care. Our liability for loss of or damage to goods we store, handle or carry is limited to £1,300 per tonne of the gross weight of the goods affected, and we are not liable unless you notify us in writing within seven days of the loss or damage becoming known to you.
We have a general lien over goods we hold for you for all sums you owe us. If charges remain unpaid for 28 days after we give you written notice, we may sell the goods and apply the proceeds to what you owe.
10. Limits on our liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by section 12 of the Sale of Goods Act 1979, or for anything else that cannot be limited by law.
Subject to that, we are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss. Our total liability under or in connection with any Contract is limited to the price paid or payable under that Contract.
11. Events outside our control
We are not liable for delay or failure caused by events beyond our reasonable control, including port or border disruption, strikes, severe weather, fire, accidents, supplier failure, or government action. If such an event lasts more than 30 days, either of us may cancel the affected order.
12. Ending a contract
We may suspend or end any Contract immediately if you fail to pay on time, break these terms in a material way, or become insolvent or cease trading. All sums owed become due immediately.
13. General
These terms, with our order confirmation, are the whole agreement between us. Any change must be agreed in writing. If any part is found unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it. No third party has rights under these terms. You may not transfer a Contract without our consent.
14. Law and jurisdiction
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
